Terms of Use

1. The Service

Noted — AI Recorder & Notes is an iOS recording and note-taking application that may provide:

• Audio recording and playback
• Apple-powered speech recognition and transcript generation
• AI-generated overviews, action items, and highlights
• Transcript translation through Apple services or our API service where available
• User notes and marked moments
• Export and sharing of recording information and, when available, original audio
• Optional iCloud synchronization
• Optional Sign in with Apple
• Adding action items to Apple Reminders where supported and authorized
• Free and paid membership features

We may add, change, suspend, or discontinue features when reasonably necessary for technical, legal, security, product, or operational reasons.

2. Eligibility and Account Access

You must be legally permitted to use the App in your location. You are responsible for access to your Apple ID, device, network connection, and any permissions required by iOS.

The App may create a device session for API access. You must not share, sell, transfer, copy, or misuse device credentials, session tokens, or subscription access.

3. Recording and Consent Responsibilities

You are solely responsible for using the recording feature lawfully. Before recording another person, meeting, class, interview, call, or private conversation, you must obtain any consent or provide any notice required by applicable law.

You must not use the App to record, transcribe, store, translate, or share content when doing so would violate privacy, confidentiality, employment, education, telecommunications, intellectual property, or other laws.

4. User Content

You retain ownership of the audio, transcripts, notes, marks, and other content that you create or provide through the App (“User Content”).

You are responsible for:

• Having the rights and permissions necessary to record, process, store, translate, export, and share User Content
• The accuracy, legality, and completeness of User Content
• Protecting any sensitive or confidential information included in User Content
• Reviewing recipients and settings before exporting, sharing, or synchronizing content

When you use AI analysis, translation, synchronization, export, or other connected features, you grant us and our service providers the limited rights necessary to transmit, store, process, and return User Content solely to provide those features, maintain security, and operate the service.

5. AI and Speech Features

Speech recognition, translation, summaries, action items, highlights, and other AI results are generated by automated systems and may contain errors, omissions, incorrect timestamps, incorrect labels, or misleading conclusions.

You must independently verify any result before using it for legal, medical, financial, employment, education, safety, compliance, or other important decisions. The App does not provide professional advice and is not a substitute for qualified human judgment.

The App may display a generic speaker label when it cannot reliably distinguish different speakers. Speaker labels, translations, summaries, and highlights are conveniences and are not guaranteed to be accurate.

6. Apple Services and iCloud

Some features depend on Apple services, including Speech Recognition, Translation, Sign in with Apple, iCloud, Reminders, StoreKit, and the App Store. Your use of those features may also be subject to Apple’s terms and policies.

We do not control Apple’s availability, processing, synchronization, storage, account decisions, or service changes. We are not responsible for loss or delay caused by an unavailable Apple service, an Apple account issue, insufficient iCloud storage, or a device permission setting.

7. Notifications

The App provides iOS system notifications. Notifications may be local or remote and may inform you about recording processing, subscription or account events, or other App-related operations.

If remote notifications are enabled, you must grant notification permission where required by iOS. The App may use an APNs device token and limited device or App information to deliver notifications. You can change notification permission at any time in iOS Settings. Notifications are a convenience feature and may be delayed or unavailable because of device settings, network conditions, Apple services, or other technical limitations.

8. Subscriptions and Paid Features

The current subscription plans are:

• Weekly Pro: US$4.99 per week
• Monthly Pro: US$12.99 per month

The App or App Store may display additional introductory offers or trial periods. Any offer applies only when it is clearly shown before purchase and is governed by Apple’s purchase terms.

Subscriptions are purchased through Apple’s App Store. By confirming a purchase, you authorize Apple to charge the payment method associated with your Apple ID. A subscription renews automatically unless you cancel it through your Apple ID subscription settings at least 24 hours before the end of the current billing period, subject to Apple’s rules.

Prices may vary by country, currency, taxes, promotions, or App Store pricing rules. The price shown by Apple at the time of purchase applies. We may change prices or plan benefits in the future, subject to applicable notice and platform requirements.

You can manage or cancel subscriptions in iOS under Settings → Apple Account → Subscriptions. Refund requests are handled by Apple under the applicable App Store policies; we do not directly control Apple’s refund decisions.

9. Free Usage and Limits

The App may offer limited free usage. The current free plan may include up to 60 minutes of recording use per month, as shown in the App. Free usage, limits, paid benefits, and eligibility may change over time.

Usage limits may be calculated using device, account, subscription, transaction, or service information. Attempting to bypass a limit or membership requirement is prohibited.

10. Acceptable Use

You must not:

• Use the App for unlawful, fraudulent, abusive, harmful, or deceptive purposes
• Record or process content without the required permission or legal basis
• Infringe copyright, privacy, confidentiality, publicity, trademark, or other rights
• Upload or process malware, harmful code, or content intended to disrupt the service
• Attempt to gain unauthorized access to the App, API, device sessions, or another user’s data
• Reverse engineer, decompile, disassemble, modify, or extract source code from the App except where applicable law permits
• Circumvent subscriptions, usage limits, security controls, or technical restrictions
• Use automated methods to overload, scrape, probe, or interfere with the service
• Misrepresent AI-generated results as verified human-authored facts when accuracy matters

We may restrict, suspend, or terminate access when we reasonably believe that use violates these Terms, creates security or legal risk, or harms the service or other users.

11. Intellectual Property

The App, including its software, design, interface, logos, graphics, documentation, and service technology, is owned by us or our licensors and is protected by applicable intellectual property laws.

Except for the limited license below, these Terms do not transfer ownership of the App or our intellectual property to you. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the App on compatible Apple devices for lawful personal use.

12. Availability and Disclaimers

The App and its results are provided on an “as available” and “as is” basis to the maximum extent permitted by law. We do not guarantee that:

• The App or any feature will be continuously available
• A recording, transcript, translation, summary, export, sync, or reminder will always complete successfully
• AI or speech results will be accurate, complete, timely, or suitable for a particular purpose
• Data will never be lost, corrupted, delayed, or inaccessible
• The App will work with every device, language, network, Apple account, or system version

You should keep independent copies of important recordings and notes. Enabling iCloud or using export does not remove your responsibility to maintain appropriate backups.

13. Limitation of Liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, business, goodwill, privacy, or use arising from or related to the App, User Content, AI results, Apple services, third-party services, or your inability to use the App.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

14. Changes to the Terms

We may update these Terms when the App, services, legal requirements, or business practices change. The updated version will show a new “Last updated” date. Continued use of the App after an update means that you accept the revised Terms.

15. Apple App Store Terms

These Terms are between you and us, not Apple. Apple is not responsible for the App, its content, maintenance, support, warranties, or claims relating to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions as a third-party beneficiary.
